Welcome to the UJJI LTD's Terms and Conditions.

1. Introduction

These Terms and Conditions("Terms") govern your use of the SaaS services ("Services")provided by UJJI LTD, a company registered in England and Wales under number 12978940, with its registered office at The Lambourn, Wyndyke Furlong, Abingdon, Oxfordshire, OX14 1UJ ("Company", "we", "us", or "our"). By subscribing to or using our Services, you agree to be bound by these Terms. If you do not accept these Terms, you must not use our Services.

3. Subscription and Account Registration

3.1. You must register an Account to access and use the Services.
3.2. You agree to provide accurate, current, and complete information during registration.
3.3. You are responsible for maintaining the confidentiality of your Account credentials and all activities under your Account.

4. Scope of Services

4.1. The Company grants you a non-exclusive, non-transferable, limited right to use the Services as per the Subscription Plan.
4.2. We may modify or update the Services at any time, provided such updates do not materially reduce the core functionality.
4.3. Beta features or experimental functionalities may be provided at our discretion, with no guarantees of stability or continued availability.

5. Fees and Payment

5.1. You agree to pay the fees associated with your Subscription Plan as detailed on our Website.
5.2. Payments are due in advance and billed on a recurring basis unless cancelled.
5.3. Fees are exclusive of taxes, which you are responsible for paying.
5.4. We may suspend or terminate access to the Services for non-payment.
5.5. We reserve the right to change pricing with prior notice. Any price adjustments will be communicated in advance.

6. User Obligations

You agree to use the Services in compliance with all applicable laws and regulations.
6.2. You must not misuse, reverse engineer, or interfere with the proper functioning of the Services.
6.3. You are responsible for ensuring that User Data complies with applicable laws, including data protection regulations.
6.4. You must comply with our LMS Privacy Policy and AI Privacy Policy when using the Services.

7. Data Protection and Privacy

7.1. We process data in accordance with our Privacy Policies, available here and here as well as in accordance to our Data Processing Agreement available here. For more information on how UJJI complies with the GDPR, please see here.
7.2. We implement security measures to protect your User Data but cannot guarantee absolute security.
7.3. If the Services integrate with third-party platforms, we are not responsible for the security or data practices of those third parties.

8. Service Availability and Support

We strive for 99.9% uptime but do not guarantee uninterrupted availability.
8.2. Scheduled maintenance and unforeseen issues may temporarily disrupt service access.
8.3. Support is available via email at contact@ujji.co.uk.
8.4. We are not responsible for disruptions caused by third-party providers that the Services may depend on.

9. Termination & Cancellation

9.1. Subscription Plans renew automatically unless cancelled with at least thirty (30) days' notice before the renewal date.
9.2.Refunds are not provided for early cancellations, except where required by law.
9.3.Upon termination, you may request a data export. If no request is made, we will delete your data within 60 days.

10. Mutual Liability & Indemnification

10.1. Each party agrees to indemnify the other against claims resulting from breaches of this agreement.
10.2. In case of a confidentiality breach, we assume liability for any direct damages caused. 
10.3. Our total liability shall not exceed the fees paid by you in the preceding 12 months.

11. Confidentiality Obligations

11.1. We commit to maintaining strict confidentiality regarding any data uploaded, processed, or generated within our platform.
11.2. Our employees, agents, and subprocessors are subject to confidentiality agreements.
11.3. We implement security and access controls to prevent unauthorized disclosure.
 11.4. Any breach of confidentiality is covered under our liability provisions (Section 10).

12. Ownership of Developed Content & AI-Generated Output

12.1. We do not warrant that the Services will be error-free or meet your specific requirements.
12.2. To the extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from the use of the Services.
12.3. Our total liability under this Agreement shall not exceed the fees paid by you in the preceding 12 months.

13. Governing Law and Dispute Resolution

13.1. These Terms shall be governed by the laws of England and Wales.
13.2. Any disputes shall be resolved through negotiation or, if necessary, through the courts of England and Wales.

14. Changes to Terms

14.1. We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
14.2. We will notify you of significant changes via email or a notice on our Website.
